所谓对价，原本是英美合同法上的效力原则，指的是当事人一方得到某种利益、权利或好处，另一方损失某种利益、权利或好处，从而使双方都收到好处。合同无“对价”无效。从法律关系看，“对价”是一种等价有偿的允诺关系，“某人允诺是为了换取另外一个人对允诺的承诺”。
